1. CONTEST DESCRIPTION: The The Hidden Cost of Cheap Hair Transplants (“Contest”) is

sponsored by Parsa Mohebi, M.D., Inc., a California corporation, 5425 Farralone Ave, Woodland Hills, Ca 91367 (“Sponsor”).

By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Contest Rules and the decisions of Sponsor, which shall be final and binding in all respects.

2. ELIGIBILITY: The Contest is open only to those who follow

@parsamohebihairrestoration on Instagram and /or @hairtransplantdr on TikTok, and who

are 18 years of age or older as of the date of entry. The Contest is only open to legal

U.S. citizens or permanent legal residents (green card) and is void in Arizona and

anywhere else where it is prohibited by law. Employees of Sponsor (“Employees”) and

immediate family members and/or those living in the same household of Employees are

not eligible to participate in the Contest. “Household Members” shall mean those people

who share the same residence at least three months a year. “Immediate Family

Members” shall mean parents, step-parents, legal guardians, children, step-children,

siblings, step-siblings, or spouses. The Contest is subject to all applicable federal, state,

and local laws and regulations. The Contest is in no way sponsored, endorsed,

administered by, or associated with Instagram, TikTok or any other social media

platform.

3. AGREEMENT TO RULES: By participating, each entrant (“You”) agrees to be fully

unconditionally bound by these Official Contest Rules, and You represent and warrant

that You meet the eligibility requirements. In addition, You agree to accept the decisions

of Sponsor as final and binding as it relates to the conducting of the Contest.

4. CONTEST PERIOD: The Contest begins at 12:00 PM PST on December 2nd, 2024

and ends at 11:59 pm PST on January 6th 2025 (the “Contest

Period”). All entries must be submitted during the Contest Period. The five finalists will be announced by 11:59PM PST on January 15th 2025. Then, the winner will be announced by January 31st 2025 at 11:59PM PST.

5. HOW TO ENTER: The Contest may only be entered by posting a video of at least

one minute, but not more than two minutes in length, to Instagram and / or TikTok (a “Submission”), in which You share your personal experience with hair loss, your medical tourism journey, and why You are now seeking a hair restoration repair. No other person other than You may appear in the Submission. You may only make one Submission. Sponsor, at its sole discretion, has final approval of all Submissions for inclusion in the Contest. Any Submissions: (i) which depict, utilize or otherwise contain and/or glorify lewd, obscene, threatening, racist, illegal, vulgar, or profane language or behavior; (ii) that violate any third party’s intellectual property rights (or other proprietary rights) or, in respect of which, Sponsor has grounds to believe they may violate any third party’s intellectual property rights (or other proprietary rights); (iii) that violate and/or do not comply with these Official Contest Rules; or (iv) are otherwise deemed to be unsuitable for any reason by Sponsor at its sole discretion, will be disqualified and ineligible to win. You shall retain ownership interest and applicable intellectual property rights in and to your Submission. However, You hereby grant Sponsor, and its agents, affiliates, successors and assigns a perpetual, irrevocable, worldwide, non-exclusive, fully-paid and royalty-free, sub-licensable and transferable license to use, distribute, transmit, display, make derivative works of and utilize your Submission in any manner and for any purposes including, but not limited to, Sponsor’s advertising and marketing endeavors.

Your Submission is, and will be treated as, non-confidential and non-proprietary.

Sponsor retains the right to subsequently edit or otherwise modify your Submission in

any manner and for any purpose, but is under no obligation to do so. You hereby

represent, warrant and undertake that You own the Submission (and the content

therein) submitted by You and that the use of said Submission in accordance with these

Official Contest Rules will not violate the privacy rights, intellectual property rights

(including without limitation, copyright and trademark rights), contract rights, music

performance and publishing rights, or any other rights of any person or entity. Sponsor

reserves the right to use the Submission for any purpose, including, but not limited to,

online Internet and wireless application protocol use, reproduction, disclosure,

advertising and promotional activities, distribution, transmission, publication, and

broadcast. Sponsor reserves the right to use any ideas, concepts, knowledge, or

techniques contained in the Submission for any purpose, including, but not limited to,

developing and marketing products and/or services using such information, and You

acknowledge and understand there shall be no consideration, royalties or other

compensation from Sponsor, its agents, affiliates or assigns for use of your Submission

or the content therein. Further, to the fullest extent permitted by applicable law, You on

behalf of yourself and your heirs, hereby indemnifies, discharges, releases, and holds

Sponsor together with its agents, affiliates, successors and assigns and their respective

directors, members, shareholders, officers, employees, agents and representatives

(collectively, the “Released Parties”), harmless from any action and/or liability, in any

form or manner, arising from your failure to comply with these Official Contest Rules

and/or any infringement of any third party’s rights, inclusive of attorneys’ fees and costs

in connection to the Submission. By entering the Contest, You grant Sponsor permission to contact You with promotions and/or newsletters, which You may unsubscribe from at any time.

6. PRIZES: Five (5) Submissions will be chosen as the winners (each a “Winner”),

provided there are sufficient qualified Submissions, based on the judging criteria

described below. Each Winner will receive the following: i) a free zoom and/or in person consultation with a hair restoration professional of Sponsor with a doctor; and ii) a fifteen percent (15%) discount on a hair transplant procedure from Sponsor (Collectively, the

“Prize”). Each Winner agrees to allow their procedure(s) to be documented via photo

and video and to document their hair restoration journey as reasonably requested by

Sponsor. The Prize cannot be transferred, redeemed for cash or substituted by a

Winner. All persons who submit a Submission (other than the Winners) that is accepted into the Contest by Sponsor shall receive a discount of fifty percent (50%) of the cost for an

initial consultation with a hair restoration professional of Sponsor (the “Contest Perk”),

which must be used by December 31st, 2026. Neither the Contest Perk nor the Prize may be transferred, redeemed for cash or substituted.

ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OF THE PRIZE OR THE CONTEST PERK ARE THE SOLE RESPONSIBILITY OF THE RECIPIENT. Sponsor may provide a federal 1099 financial reporting form to Winner and each recipient of the Contest Perk. If so provided, the form must be executed and returned to Sponsor per the instructions provided by the Sponsor. Acceptance of the Prize or the Contest Perk constitutes permission for Sponsor to use the recipient’s name and likeness for purposes of advertising and trade without further compensation, unless prohibited by law. The Prize or the Contest Perk must be used on or before December 31st 2026.

7. JUDGING: The Winners shall be chosen by Sponsor in its sole discretion based upon

the following criteria: (i) by Sponsor reviewing the video submissions and selecting five likely candidates for a hair transplant repair. All decisions by Sponsor are final. The Winners will be selected on or before January 31st 2025 at 11:59PM PST.

8. WINNER NOTIFICATION: Each Winner will be notified by Instagram or TikTok direct

message within five (5) days following selection of Winner. Sponsor shall have no

liability for Winner’s failure to receive notices. If Winner cannot be contacted or fails to

acknowledge the notification that they have been chosen as Winner within five (5) days

from the time notification was sent, the Prize is forfeited and an alternate Winner will be

selected. Sponsor is not responsible for any delay or failure to receive notification for

any reason, including inactive Instagram or TikTok account, technical difficulties

associated therewith, or Winner’s failure to adequately monitor their account. Receipt by

Winner of the Prize offered in this Contest is conditioned upon compliance with any and

all federal, state, and local laws and regulations. The Winner may be required to sign

and return an affidavit of eligibility, release of liability, a publicity release and all other

agreements required by Sponsor to provide the services that constitute the Prize.

9. RIGHTS GRANTED BY YOU: To the fullest extent permitted by applicable law, You

hereby grant to Sponsor an irrevocable, perpetual, royalty free, worldwide license to use

and utilize, alter, and publish your name, membership user name, likeness, image,

voice, biographical information, all video or audio content You provide to Sponsor, your

statements, appearance and performance, in whole or in part, as the foregoing may be

rendered in the Submission or otherwise related to the services provided to you by

Sponsor, the providing of the Prize and/or otherwise in connection with the Contest or

Sponsor’s promotion or other exploitation thereof. In the event that the rights granted

herein cannot be granted to the extent required by these Official Contest Rules pursuant

to applicable law, the foregoing assignment of rights shall be modified to the extent

necessary to comply with such laws while giving Sponsor the maximum rights possible.

You agree not to release any publicity or other materials on your own or through

someone else regarding your participation in or winning of the Contest without the prior

written consent of Sponsor, which it may withhold in its sole discretion.

10. GENERAL RELEASE: Subject to the remaining provisions of this section 10, by

entering the Contest, You release and hold the Released Parties harmless from any

liability whatsoever in the event of personal injury, property damage, or death, and

waive any and all causes of action, related to any claims, costs, injuries, losses, or

damages of any kind arising out of or in connection with the Contest, including, without

limitation, claims, costs, injuries, losses and damages related to personal injuries,

death, damage to or destruction of property, rights of publicity or privacy, defamation or

portrayal in a false light, whether intentional or unintentional, whether under a theory of

contract, tort, warranty or other theory, to the extent permitted by law. You hereby waive

application of California Civil Code Section 1542 which provides as follows:

A GENERAL RELEASE DOES NOT EXTENT TO CLAIMS WHICH THE CREDITOR

DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF

EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY

AFFECTED HIS SETTLEMENT WITH THE DEBTOR.You expressly waive the provisions of Section 1542 of the California Civil Code as well as any other statutes, rules, laws, ordinances, or common law principles or other authority of similar effect of any jurisdiction, and further waive any right to invoke said provisions now or in the future with regard to the Contest. You acknowledge and agree that this waiver is an essential and martial term of these Official Contest Rules and the Contest.

11. WINNERS LIST; OFFICIAL RULES REQUEST: For a copy of the winners list or

these Official Contest Rules, send a stamped, self-addressed, business-size envelope

to Sponsor’s address above, prior to December 31, 2025. Residents of WA and VT may

omit return postage for Official Contest Rules requests.

12. GOVERNING LAW AND JURISDICTION: You agree that the laws of the State of

California, without regard to the principles of conflict of laws, will govern the Contest and

these Official Contest Rules. You irrevocably submit to the exclusive jurisdiction of, and

venue in, the state and federal courts seated in Los Angeles County, California, and the

related appellate courts, in any related action or proceeding. As a condition of

participating in the Contest, You agree that any and all disputes that cannot be resolved

between the parties and causes of action arising out of or connected with the Contest

shall be resolved individually, without resort to any form of class action. Further in any

such dispute, under no circumstances will You be permitted to obtain awards for and

you hereby waive all rights to claim punitive, incidental or consequential damages

(including reasonable attorneys fees), other than your actual out-of-pocket expenses

(i.e. costs associated with entering this Contest) and You further waive all rights to have

damages multiplied or increased.

13. MISCELLANEOUS: If You do not agree to all of the Official Contest Rules, You may

not enter the Contest. You agree to be bound by these Official Contest Rules and by the

decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the

limited right to suspend, modify, or otherwise change these Official Contest Rules at any

time, in its sole discretion, and to suspend or cancel the Contest or your participation in

the Contest in the event that viruses, bugs, network interruptions or failures,

unauthorized human or electronic intervention or other causes beyond Sponsor's control

affect the administration, security or proper function of the Contest or Sponsor otherwise

becomes (as determined in its sole discretion) incapable of running the Contest as

planned. Automated entries are prohibited, and any use of such automated devices will

cause disqualification. Entrants (and any individuals acting on their behalf) who violate

these Official Contest Rules, tamper or otherwise interfere with the operation of the

Contest or engage in any conduct that is detrimental or unfair to Sponsor, the Contest or

any other entrant (in each case as determined in Sponsor's sole discretion) are subject

to disqualification at any time during the Contest Period. Sponsor reserves the right to

suspend, or otherwise disqualify persons whose eligibility is in question or who have

been disqualified or are otherwise deemed to be ineligible to enter and/or further

participate in the Contest. This may include removal of the entrant’s Submission. In

connection to, and in event of all of the foregoing, an entrant may become ineligible to

win a Prize.

14. DIGITAL MILLENNIUM COPYRIGHT ACT: Pursuant to the Digital millennium

infringes upon any third party copyright, please notify Sponsor by mail at the address

above, or by email at info@parsamohebi.com with the subject line stating

“Copyright” (a “Copyright Notice”). The Copyright Notice MUST include the following: (i)

describe the alleged infringement in detail; (ii) the copyright owner or who retains

authorized use; (iii) the URL(s) where the alleged infringement can be located; (iv) a

statement indicating your authorization to file a DMCA complaint; (v) how you may be

contacted; and (vi) any DMCA notice must also contain the following statement:

“I have a good faith belief that use of the copyrighted material described above is not

authorized by the copyright owner or its agent, nor is such use otherwise permissible

under law. I declare, under penalty of perjury, that the information presented herein is

accurate, that I am authorized to represent the copyright holder, and I have a good faith

belief that the use is infringing.”
